Summit Ministries, Inc. hereby adopts this Resale Policy and requires that all resellers comply with this Policy. Summit Ministries reserves the right to update, amend, or modify this resale policy at any time. By purchasing products from Summit Ministries for resale, resellers agree to this policy. Any reseller that fails to comply with this Policy will be deemed an unauthorized reseller of Summit Ministries products, and as such, will have no rights to sell products, use Summit’s intellectual property, including any of its trademarks or copyrights, or offer customer service applicable to any of the products. Product Pricing Summit Ministries products are offered to resellers with valid sales permit identification at 40% below MSRP for resale only. Summit Ministries reserves the right to change MSRP at any time with a 30-day warning to resellers. Prices are currently reviewed annually. All resellers with tax-exemption status may submit their tax-exemption certificate to the Customer Care team for tax-exemption status to be applied to their account. Payment Terms Net 30 is offered on all orders, and invoices can be paid via check or with a credit card. Reseller accounts may be reviewed by Summit Ministries at any time. Summit Ministries reserves the right to cancel an account if resellers consistently pay invoices late or if the account changes ownership. After one year of reselling Summit Ministries products, accounts can be reviewed (upon request) to extend the net 30 to a net 60. Product Orders, Inquiries, and Account Set-Up To place product orders and inquiries or set up a new resale account, reach out to the Customer Care team. Please provide a purchase order number for all orders. Product Packaging and Handling Duplication or alteration of products or packaging. Falsely representing Summit Ministries products as your own, is strictly prohibited. Summit Ministries reserves the right to discontinue selling products to resellers with sales and distribution strategies incompatible with those of Summit Ministries. No Summit Ministries products may be altered, disassembled, packaged, or sold in any way that does not reflect Summit Ministries’ intent. Order Fulfillment Order fulfillment from Summit Ministries to a reseller varies based on the quantity of product ordered, shipping location, and stock levels. Check with Summit Ministries Customer Care for a more detailed lead-time estimate. However, Summit Ministries generally recommends that resellers give themselves at least 3-weeks of lead time on most products. In the case of backorders, order fulfillment will be held until a product is restocked. All products will be shipped through FedEx, unless otherwise specified. If a reseller has a UPS or FedEx shipping account number and would like orders charged directly to their account, they may email Customer Care to obtain approval for this request. The utilization of shipping account numbers is approved and set up on a case-by-case basis and is a part of individual reseller agreements. All resellers will be charged a handling fee to this their materials that is priced at a $0.20 to 1 pound rate. For information on Summit Ministries’ return policy please go to summit.org/returns. Sales Practices and Inventory Reseller shall always conduct its business reasonably and ethically, whether engaged in the sale of Summit Ministries products or other products and will not engage in any deceptive, misleading, or unethical practices or advertising at any time. The reseller will not make any warranties or representations concerning products except as expressed or authorized by Summit Ministries. This reseller will comply with any applicable laws, rules, regulations, and policies related to the advertising, sale, and marketing of products. Intellectual Property Reseller acknowledges and agrees that Summit Ministries owns all rights to Summit Ministries’ brand, name, logos, trademarks, service marks, copyrights, and other intellectual property related to Summit Ministries products. Reseller is granted a limited, non-exclusive, non-transferable, revocable license to use the Summit Ministries products and brand solely for marketing and selling the products. This license will cease upon termination of the reseller’s status as an authorized reseller. To request images associated with the Summit Ministries brand to resell products please email Customer Care with your request and a detailed  description of how you intend to use the images. Audit Summit Ministries reserves the right to audit and/ or monitor reseller’s activities for compliance with this resale policy. Dispute Resolution Any disputes arising out of or related to this Policy shall be resolved by binding arbitration. The place of such arbitration shall be El Paso County, Colorado. The arbitrator shall have authority to resolve all disputes arising out of or related to this Policy, including its validity. The arbitrator’s decision shall be final and binding, and judgment may be entered thereon. The arbitrator (and the court in an action to enforce an award) shall award costs and reasonable attorney fees to the prevailing party. Contact Customer Care
